Official Contest Rules
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.  A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.
OPEN TO ELIGIBLE PARTICIPANTS WHO, AS OF THE TIME OF ENTRY, ARE AT LEAST 18 YEARS OLD AND ARE RESIDENTS OF THE UK. 
PLEASE READ ALL OF THE CONTEST RULES CAREFULLY BEFORE ENTERING THE CONTEST.  BY ENTERING THE CONTEST, YOU ARE GIVING UP IMPORTANT RIGHTS.
VOID IN ALL JURISDICTIONS OTHER THAN THOSE STATED BELOW AND WHERE PROHIBITED OR RESTRICTED BY LAW.
1.    Contest Description
#TakeTimeToGiveThanks Olivia Burton for Cadbury Roses (“Contest”).  The Contest starts on 15th October 2019 at 9.00am BST and ends on 15th November 2019 at 12.00pm GMT (the “Contest Period”).  All entries received after the Contest Period will be disqualified.  Olivia Burton and Cadbury  take no responsibility for entries that are lost, delayed, misdirected, or incomplete, or cannot be delivered or entered for any technical or other reason.  Proof of delivery of the entry is not proof of receipt.
2.    Agreement to be Bound by Contest Rules
By entering the Contest, you are agreeing to be bound fully and unconditionally by these Rules and to accept the decisions of Sponsor as final and binding as it relates to this Contest.  
By entering the Contest, you represent and warrant that you are eligible to enter the Contest, that your entry meets all of the Contest Rules, and that all information submitted by you is true, correct, and complete. Participants and entries that do not fulfill all of the Contest Rules will be disqualified.    
3.    Eligibility
To participate, you must be a resident of the United Kingdom and at least 18 years old at the time of entry.  The following individuals are not eligible to enter or to win a prize:  (a) employees, contractors, representatives, agents, directors, and officers of Sponsor and its affiliated companies and any other parties involved in the administration of the Contest, (b) each of the immediate family members of such excluded individuals (i.e., spouses, parents, children, siblings, and the “steps” of each), and (c) all persons living in the same household of such excluded individuals.
4.    How to Enter 
During the Contest Period, log on to your non-private Instagram account (or create an account if you do not already have one) and post a photo or video to your main feed, with a caption of you saying who you are thanking and why, tagging @oliviaburtonlondon and @cadburyuk, and including #TakeTimeToGIVEThanks in the post.  The entrant must be the rightful owner of the e-mail address registered with the Instagram account and used to log in and post the entry.  Your entry must not inaccurately tag content, tag any individuals or companies other than @oliviaburtonlondon and @CadburyUK, or contain any personal information other than your own.  Use of Instagram will be subject to Instagram’s privacy policy and terms of use, available https://help.instagram.com/581066165581870 .  
This Contest is in no way sponsored, endorsed, or administered by Instagram.  Participants are providing their information to Sponsor and not to Instagram.  Any questions, comments, or complaints regarding this Contest should be directed to Sponsor and not to Instagram.  By entering the Contest, each participant agrees to release and hold harmless Instagram and its affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors of and from all damages and claims of any type and nature arising out of or in any way relating to this Contest. You can submit as many entries as you like, but each entry must be substantively different.
Entries must be your own work, must not have been published previously in any media, must not be copied, must not contain any third party materials and/or content that you do not have permission to use, must not include any trademarks (other than Olivia Burton and Cadbury), must not infringe another’s rights (including, but not limited to, privacy, publicity, or intellectual property rights) and, as determined in Sponsor’s sole discretion, must not show inappropriate, dangerous, or violent behavior, be obscene, indecent, lewd, pornographic, hateful, tortious, defamatory, distasteful or offensive, breach any obligation owed by you to any third party, or be in violation of or contrary to the laws or regulations in any jurisdiction where the entry is created or published.
5.    Winner Selection and Notification
#TakeTimeToGIVEThanks winners will be selected from all eligible entries.  Judging will be conducted by Sponsor representatives, whose decisions shall be final and binding.  Judging will take place on each day throughout the competition at Olivia Burton, Zetland House, 5-25 Scrutton Street, London, EC2A 4HJ.  Eligible entries will be judged according to the sincerity of the message, the generosity and spirit of the person being thanked, and compatibility with Olivia Burton and Cadbury values.
Sponsor will notify the 500 Cadbury Roses tin winners on a rolling basis throughout the Contest Period by comment on the winner’s entry post and will notify the final 10 watch winners within one (1) week after the end of the Contest Period using the contact information supplied during the Cadbury Roses tin winner prize claim process.  The notification will provide instructions on how to claim the prize.  Winning is conditioned on following these instructions and Sponsor’s satisfactory verification of the entrant’s compliance with the Contest Rules which may include, without limitation, the winner’s submission of an affidavit of eligibility.  
6.     Prizes and Prize Claim
The winners will receive 2 x Limited Edition Olivia Burton for Cadbury Roses tin, one for themselves and one for them to give to the person they have said thank you to. There will be 1,000 tins to giveaway throughout the campaign, allowing for 500 individual winners.  From the 500 Cadbury Roses tin winners, 10 will be selected to win an Olivia Burton for Cadbury Roses watch after the competition has ended.  Except where otherwise required by law, the winner is responsible for all taxes associated with the acceptance and use of the prize.  All costs and expenses associated with prize acceptance and use not specifically provided in these Contest Rules are the responsibility of the winner.
The prize is non-transferable, and no prize substitution is permitted except at the sole discretion of the Sponsor.  
When claiming the prize, each winner will be required to provide contact information, including without limitation a postal and an e-mail address.  If the winner does not claim the prize or submit the required information and proof to Sponsor within one (1) week of being notified, then the prize will be forfeited, and an alternate winner will be notified.  Sponsor shall have no liability for a winner’s failure to receive notification of his/her winning entry.
7.    Publicity and Grant of Rights to Sponsor
Except where prohibited by law, by entering the Contest or by accepting a prize, you irrevocably grant, without any additional approval or consideration, to Sponsor and its affiliates, successors, and assigns, and each of their respective licensees, advertising agencies, promotion agencies, and fulfillment agencies (collectively, the “Authorized Persons”) the following publicity and use rights:
7.1  a worldwide, royalty-free, non-exclusive and sub-licensable right and license to use, distribute, and publicly display your name, hometown, likeness and appearance, and any other information about you that you choose to submit with your entry (your “Likeness”) in any way, at any time, in any and all media, for any purpose (including for use in advertising and marketing), without limitation;    
7.2  a worldwide, non-exclusive, fully paid, royalty-free, perpetual, right and license, with the right to sublicense through multiple levels of sublicensees, under any and all such rights (a) to use, display, publish, republish, transmit, copy, make derivative works from, edit, alter, store, re-format, and/or modify your entry in any and all media or formats (including, without limitation, in electronic format, hard copy, and in Olivia Burton and/or Cadbury publications) for any and all purposes; (b) to use, make, have made, offer to sell, import, or otherwise exploit any product or service based on, embodying, incorporating, or derived from your submission, and (c) to exercise any and all other present or future rights in your entry.
The matters described in 7.1 and 7.2 are collectively referred to as “Use.”
You waive all your moral rights in your submission, and you agree that you have no right to review or approve any Use of your Likeness or your entry, and that the Authorized Persons have no liability to you for any Use.  Any credit or other acknowledgement of you, if any, shall be determined by the Authorized Person in its sole discretion.  You understand that the Authorized Persons have no obligation to Use your Likeness or entry or to exercise the rights that have been granted by you.
By submitting an entry or accepting a prize, you represent, warrant, covenant and agree that you are the sole and rightful owner of your submission, that you may grant the foregoing rights and licenses to the Authorized Persons without obtaining approval or consent from or paying any consideration to a third-party, and that you will execute and deliver (or cause your representatives to execute and deliver) any additional documents deemed reasonably necessary or appropriate to perfect, maintain, protect, or enforce the Authorized Persons’ rights described above.
8.    Limitation of Liability 
Sponsor is not responsible for any errors or malfunctions of any kind, whether network, printing, typographical, human, or otherwise, relating to or in connection with the Contest, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prize, or in any Contest-related materials.  To the fullest extent permitted by law, as a condition of entering the Contest, you agree (and agree to confirm in writing if requested by Sponsor) that (a) you waive all legal and equitable rights relating to all liabilities, claims, demands, actions, suits, damages, and expense, including, without limitation, claims for infringement of intellectual property rights (including moral rights), defamation, invasion of any rights of privacy (including intrusion, false light, public disclosure of private facts, and misappropriation of name or likeness), violation of rights of publicity, physical or emotional injury or distress, or any similar claim or cause of action in tort, contract, or other legal theory arising directly or indirectly from the Authorized Persons’ exercise of the rights granted hereunder, (b) under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental, indirect, special, exemplary, loss of profits, consequential damages, costs, expenses, or attorneys’, expert and other professionals’ fees, and (c) that any and all claims, judgments, and awards shall be limited to your actual out-of-pocket costs incurred to enter the Contest.
9.    Privacy Concerns
Sponsor shall use and take care of any personal information you supply to it as described in its privacy policy, a copy of which can be seen at https://www.oliviaburton.com/uk/ca-privacy-policy.html and in accordance with data protection legislation.  By submitting an entry, you agree to the collection, retention, usage, and distribution of your information to process and contact you about your entry and for the purposes outlined in these Rules.
Sponsor may pass your details to Cadbury or other third parties and/or otherwise engage third party providers in connection with the Contest where the third party is acting on Sponsor’s behalf for the purposes of subsequent publicity, marketing and advertising; for the purposes of sending you Cadbury’s or Sponsor’s marketing materials; and/or as otherwise required by law.
By entering the Contest and providing your personal information, you consent to Sponsor transferring your personal information to countries or jurisdictions that may not provide the same level of protection as where you live.  If Sponsor makes such a transfer it will, if appropriate, put a contract in place to ensure that your personal information is protected.
10.    Sponsor’s Reservation of Rights
If the Contest is not capable of running as planned as the result of any event outside Sponsor’s reasonable control, including without limitation due to a force majeure event or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, Sponsor reserves the right, at its sole discretion, to cancel, modify, or terminate the Contest.
11.    Odds of Winning; Winners’ List 
The odds of winning depend upon the number of eligible entries.  Where required by law, Sponsor will publish a list of winners.  A list of winners will be made available upon written request sent to Sponsor. Requests must be received no later than sixty (60) days after the end of the Contest Period.
12.    Governing Law and Jurisdiction
All issues and questions concerning the construction, validity, interpretation and enforceability of these Contest Rules, a participant’s rights and obligations, or the rights and obligations of Sponsor in connection with the Contest, shall be governed by, and construed in accordance with English law, without giving effect to any choice of law or conflict of law rules, and participants agree that all disputes must be submitted to arbitration (that being the exclusive dispute resolution forum) before a single arbitrator appointed in accordance with the Rules of Arbitration of the International Chamber of Commerce.  The arbitration shall take place in London, England, and the language of the proceedings shall be English.
If any provision of these Contest Rules is held to be invalid or unenforceable, such provision shall be modified to the least extent necessary to make it valid or enforceable, and the remaining provisions shall be enforced without modification.
